The present work aims to critically retrace the path of ascent of the pactum marcianum, analysing the reasons that are the basis of the current revaluation of the institution as well as its compatibility with the principles that regulate the credit satisfaction phase in order to draw the possible assumptions and the operational spaces of the c.d. "pactum marcianum under common law". The pact is defined as the agreement by which creditor and debtor agree that, in the event of default, the first acquires ownership of the asset of the second with the consequent obligation of the creditor to pay the debtor the difference between the amount of its claim and the value of the asset under guarantee, estimated, at the time of default, by a third party and impartial. Given the obvious points of affinity, the development of the “pactum marcianum” has followed the events that have affected the birth and the evolution of the prohibition of the pactum commissorium. For this reason, it was considered appropriate to dedicate the first chapter to the study between the aforementioned institute and the prohibition of the pactum commissorium, currently consecrated in art. 2744 cc. The second chapter is, instead, dedicated to the recent regulatory measures that, intervening in determined sectorial fields, have typed some cases. Reference is made to the operating mechanisms underlying the procedure of enforcement of the pledge not possessory pursuant to art.1, paragraph III, of D.L. 59/2016, to the consumer real estate loan (art. 120 quinquiesdecies T.U.B.), sales for the purpose of guarantee in financing contracts to companies pursuant to art. 48 bis of the T.U.B., to the mortgage annuity loan as amended by L. 44/2015, to the long-awaited regulation of the resolution in the financial lease, referred to in paragraphs 136-140 of Law 124/2017, and to the, now dating, regulation of financial security contracts that, first, art. 6 of D.L. 170/2004, it seems to have introduced an express exception (although more formal than substantial) to the prohibition of pactum commissorium. The positivization of the c.d. marcian subtypes was not, however, followed by the legislative typification of the general model of “pactum marcianum”. For this reason, the last chapter focuses on the reconstruction of the C.D. "pactum marcianum under common law", whose essential features are attempted, in a de jure condendo perspective too

Il presente lavoro mira a ripercorrere, con approccio critico, il percorso di ascesa del patto marciano, analizzando le ragioni che si pongono a fondamento dell’attuale rivalorizzazione dell’istituto nonchè la sua compatibilità con i principi che regolano la fase di soddisfacimento del credito onde disegnare i possibili presupposti e gli spazi di operatività del c.d. “marciano di diritto comune”. Si definisce patto marciano l’accordo con cui creditore e debitore pattuiscono che, in caso di inadempimento, il primo acquisti la proprietà del bene del secondo con il conseguente obbligo del creditore di versare al debitore la differenza tra l’importo del proprio credito e il valore del bene oggetto di garanzia, stimato, al momento dell’inadempimento, da un soggetto terzo ed imparziale. Dati gli evidenti punti di affinità, lo sviluppo del patto marciano ha seguito le vicende che hanno interessato la nascita e l’evoluzione del divieto del patto commissorio. Per questa ragione, si è ritenuto opportuno dedicare il primo capitolo al rapporto tra suddetto istituto ed il divieto del patto commissorio, consacrato attualmente nell’art. 2744 c.c.. Il secondo capitolo è, invece, dedicato ai recenti interventi normativi che, intervenendo in determinati ambiti settoriali, hanno tipizzato alcuni regolamenti marciani. Si fa riferimento ai meccanismi operativi sottesi alla procedura di escussione del pegno non possessorio ex art.1, comma III, del D.L. 59/2016, al contratto di credito immobiliare ai consumatori (art. 120 quinquiesdecies T.U.B.), alle alienazioni a scopo di garanzia nei contratti di finanziamento alle imprese ex art. 48 bis del T.U.B., al prestito vitalizio ipotecario così come modificato dalla L. 44/2015, alla tanto attesa regolamentazione della risoluzione nel leasing finanziario, di cui ai commi 136-140 della legge 124/2017, nonché alla, ormai risalente, disciplina dei contratti di garanzia finanziaria che, per prima, all’art. 6 del D.L. 170/2004, sembra aver introdotto un’espressa deroga (sebbene più formale che sostanziale) al divieto di patto commissorio. Alla positivizzazione dei c.d. sottotipi marciani non è, tuttavia, seguita la tipizzazione legislativa del modello generale di patto marciano. Per questa ragione, l’ultimo capitolo si concentra sulla ricostruzione del c.d. “marciano di diritto comune”, di cui si tentano di individuare i tratti essenziali, anche in una prospettiva de iure condendo
